1. Acceptance

By accessing this website or engaging BL Innovations ("we", "us", "our") for services, you agree to these Terms. If you do not agree, do not use the site or our services. Specific engagements may be governed by an additional signed agreement, which will control to the extent of any conflict.

2. The Services

We provide product design, software engineering, and related consulting services. Scope, deliverables, fees, and timing for any engagement will be set out in a written proposal, statement of work, or master agreement.

3. Acceptable Use

You agree not to:

• Use the site or services to violate any law or third-party right.
• Attempt to disrupt, probe, or gain unauthorized access to our systems.
• Submit content that is unlawful, infringing, defamatory, malicious, or designed to deceive.

4. Intellectual Property

The site and its content are owned by BL Innovations or licensed to us. Nothing here grants you any right to our trademarks, logos, or proprietary materials.

Ownership of work product delivered under a specific engagement is governed by that engagement's written agreement. By default, on full payment, the client receives ownership of the final deliverables produced specifically for them; we retain ownership of our pre-existing tools, frameworks, and know-how.

5. Submissions & Feedback

If you send us suggestions, ideas, or feedback, you grant us a non-exclusive, perpetual, royalty-free license to use them without obligation. Don't send us anything you consider confidential outside a signed agreement.

6. Disclaimers

The site is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or secure.

7. Limitation of Liability

To the maximum extent permitted by law, BL Innovations and its principals will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or in connection with your use of the site. Our total aggregate liability for any claim relating to the site is limited to USD 100. Liability under a specific engagement is governed by that engagement's written agreement.

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms or your misuse of the site.

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in San Francisco County, California, and you consent to their exclusive jurisdiction.
